THIS DISCLAIMER APPLIES TO ALL PERFORMANCE MARKETING CLIENTS. ENGAGING OUR SERVICES CONSTITUTES YOUR FULL ACCEPTANCE OF ALL TERMS HEREIN. THE COMPANY'S LIABILITY IS STRICTLY LIMITED AS DESCRIBED BELOW.
1. Advertising Spend Is Solely Your Responsibility
All advertising budgets are owned and funded exclusively by the client. The Company manages campaigns on the client's behalf but does not own, control, or fund the advertising budget. All amounts spent on Meta, Google, or any other advertising platform are the client's sole financial responsibility. The Company will not reimburse, compensate, or be liable for any advertising spend under any circumstances.
2. No Guaranteed Returns — Absolute Disclaimer
The Company does not guarantee any specific return on ad spend (ROAS), cost per lead (CPL), cost per acquisition (CPA), revenue, leads, sales, or any other advertising performance metric. Results depend on market conditions, audience behavior, creative quality, product-market fit, budget, platform algorithms, competition, and numerous other factors entirely outside the Company's control.
3. Platform Policy Compliance
It is the client's sole responsibility to ensure their business, products, and services comply with Meta Ads and Google Ads policies. The Company is not responsible for ad account restrictions, suspensions, policy violations, or bans resulting from the client's business practices, products, services, or content. Any losses from account restrictions are the client's liability.
4. Creative and Content Responsibility
Where the client provides creative assets, the client is fully responsible for ensuring all content is legally compliant, accurate, and does not violate platform policies or applicable laws. The Company is not liable for consequences from client-provided content.
5. Budget Management Disclaimer
Campaign budgets are managed as agreed. The Company is not liable for overspends resulting from platform automated bidding systems, auction dynamics, or technical changes on Meta or Google — all of which are outside the Company's control.
6. Tracking and Analytics Accuracy
The accuracy of conversion tracking and analytics data depends on website platform, third-party integrations, and browser privacy settings. The Company is not responsible for tracking inaccuracies caused by ad blockers, iOS privacy updates, browser restrictions, or platform attribution model changes.
7. Service Fee Independence
Management fees are charged for the Company's time and expertise and are completely independent of campaign performance. Fees are non-refundable once the service period has commenced regardless of campaign outcomes. Poor advertising results do not constitute grounds for a refund.
8. Client Acknowledgment
By engaging performance marketing services, the client expressly acknowledges:
• Paid advertising involves financial risk that the client voluntarily assumes
• The Company cannot guarantee results and is not liable for unmet performance expectations
• All advertising spend decisions, even those made on the client's behalf, remain the client's financial responsibility
• External platform changes, market conditions, and audience behavior are beyond the Company's control
• The client has read, understood, and agreed to these terms before engaging services
